1. Acceptance of Terms
By creating an account, accessing, or using Kloud Calendar, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
2. Account Registration and Security
2.1 Account Creation
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password
- Not share your account credentials with any third party
- Notify us immediately of any unauthorized access or security breach
- Be responsible for all activities conducted through your account
2.3 Account Termination
We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or illegal activity, or violation of these Terms.
3. Acceptable Use and Restrictions

- Use the Service to send spam, unsolicited messages, or malicious content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems (bots, scrapers) without our written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or modify any copyright, trademark, or proprietary notices

5. Intellectual Property Rights
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Kloud Calendar and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
Our trademarks, logos, and service marks may not be used without our prior written permission. All other trademarks, service marks, and logos used on the Service are the property of their respective owners.
6. Subscriptions and Payments
6.1 Subscription Plans
Some features of the Service require a paid subscription. Subscription fees are charged in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.
6.2 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
6.3 Price Changes
We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after a price increase constitutes acceptance of the new price.
6.4 Refund Policy
Subscription fees are generally non-refundable. If you believe you are entitled to a refund, please contact our support team within 14 days of the charge.
7. Termination and Suspension
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us or through your account settings. Upon termination, we may delete your User Content, although some data may be retained for legal or backup purposes.
8. Disclaimers and Warranties
The service is provided "as is" and "as available" without warranties of any kind, either express or implied.
We disclaim all warranties, including but not limited to:
- Warranties of merchantability and fitness for a particular purpose
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy or reliability of information
- Warranties that defects will be corrected
We do not warrant that the Service will meet your requirements or that any errors in the Service will be corrected. Your use of the Service is at your sole risk.
9. Limitation of Liability
To the maximum extent permitted by law, Kloud Calendar shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
This includes but is not limited to:
- Loss of profits, data, or business opportunities
- Service interruptions or delays
- Unauthorized access to your data
- Errors or omissions in content
- Actions of third parties
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless Kloud Calendar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
11. Dispute Resolution
11.1 Informal Resolution
If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will work in good faith to resolve any disputes.
11.2 Arbitration
If we cannot resolve a dispute informally, you agree that any dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in San Francisco, California, and judgment on the award may be entered in any court having jurisdiction.
11.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. General Provisions
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
12.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kloud Calendar regarding the Service and supersede all prior agreements.
12.4 Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use after such changes constitutes acceptance.
12.5 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
